TOP PHOTOGRAPHER CONTEST OFFICIAL RULES, TERMS AND CONDITIONS NO PURCHASE IS NECESSARY TO ENTER OR TO WIN THE PRIZE. The Top Photographer Contest (the “Contest”) is sponsored by Adorama Camera, Inc., 42 West 18th Street, New York, NY 10011 (“Adorama”). Additional sponsorship support is provided by Canon U.S.A., Inc., 1 Canon Park, Melville, NY 11747 (“Canon”). (Adorama and Canon together, the “Sponsors.”) The Contest will be conducted in a series of competitive challenges hosted by, Nigel Barker, c/o DMA United, 446 Broadway, 4th floor, New York, NY 10013 (“Barker”) and produced under the auspices of Framework Productions, LLC, 21-37 33rd Street, #4H, Astoria, NY 11105 (“Framework”). The Contest is governed by these official rules, terms and conditions (the “Official Rules”). By participating in the Contest, each entrant agrees to abide by these official rules, including all eligibility and participation requirements, and understands that the results of the Contest are final in all respects. The Contest is subject to all federal, state and local laws and regulations and is void where prohibited by law. GRAND PRIZE There shall be one grand prize of (a) professional photographic equipment, as selected by Adorama and (b), as well as an exhibition of photographs by the Grand Prize winner, to be held in an exhibition space in New York City following the end of the Contest (together, the “Grand Prize”). The total fair market value of the Grand Prize is approximately fifty thousand dollars ($50,000). Surprise prizes and awards may be given to finalists during the Contest period, at Adorama’s sole discretion and as explained more particularly in these Official Rules. ELIGIBILITY The Contest is open to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of entry and have internet access and a valid e-mail account prior to the beginning of the Contest Period. It is void where prohibited by law. Contest judges, as well as employees, officers, directors, representatives and agents of the Sponsors, Framework, and DMA United, and their respective affiliates, as well as members of their immediate families (defined as parents, spouses, children, siblings and grandparents) and individuals living in the same household as any of those individuals are not eligible to enter or win. Adorama has the right to verify the eligibility of each entrant and the winner. The odds of winning depend upon the nature and quantity of other entries. CONTEST PERIOD The Contest begins for open entries at 9:30 EDT on [July 11, 2016] and ends with the selection of the Grand Prize winner on or before 11:59 p.m. EDT September 25, 2016 (the “Contest Period”). In order to be eligible, entries must be received by Adorama on or before 11:59 pm EDT on August 12, 2016. HOW TO ENTER AND WIN No purchase is necessary to enter or win. Making purchases will not increase your chances of winning. By entering, entrants will be added to the Adorama promotional email list; recipients of promotional emails can opt out of their receipt at any time. ROUND ONE To enter the Contest, visit the Contest website (the “Contest Site”) through the following URL: www.adorama.com/topphotographer. Follow the links and instructions provided for online entry. To enter, simply transmit a completed online entry form and a single photograph made by you that demonstrates your talents, skills and vision as a photographer. Entry photographs must be in .jpg format, at least 600 x 600 pixels in size. The photograph may be of any subject, in any genre, but it must contain no nudity, explicit sexual content or material that could reasonably be seen as offensive to some. Entry photographs will be posted on the Contest website as received. Entry photographs must be made in a single capture, on film (subsequently scanned) or in original digital capture. Minimal post-production manipulation is permitted, limited to the following: (a) cropping; (b) adjustments to color temperature, white balance, exposure compensation, tint, vibrancy, sharpness, saturation, tone, brightness and contrast; (c) conversion to monochrome, (d) removal or diminution of dust spots, specular highlights, skin blemishes and similar imperfections. Although model releases are not required, the Sponsors respect the rights and privacy of others. If your submission includes images of persons other than you and any such person objects to his or her inclusion in the Contest and the entrant cannot expeditiously provide a model release from the subject, the entry will be disqualified and the photograph removed from the Contest website. Only online entries delivered as provided in these Official Rules will be accepted. There is a limit of one (1) entry per entrant during Contest Period. Submission of an entry constitutes full agreement to these rules, terms and conditions by the entrant. Properly submitted entries will be judged by Adorama and Barker on the basis of artistic and technical merit. One thousand (1,000) entrants will be named as semifinalist winners. On or before August 19, 2016, Adorama will announce the winning semifinalists from among the entries so received. Announcement of the semifinalists shall be made by emails sent to semifinalist winners. ROUND TWO Semifinalists will be permitted to enter Round Two of the Contest. Each Entry will be in the form of a video submission not to exceed thirty (30) seconds in length. In his or her video submission, the entrant must explain or demonstrate why that entrant is qualified to be selected as a finalist. Video entries must be in one of the following supported formats: asf, asx, avi, divx, dv, dvx, m4v, mov, mp4, mpeg, mpg, qt, wmv, 3g2, 3gp, 3ivx, 3vx. Maximum file size: 5 gigabytes. Each video submission must contain, at a minimum, the following: • Full Name • Place of residence. • Profession. • A description of what inspired the entrant to become a photographer. • An explanation of what it would mean to the entrant to be the Top Photographer. Each video submission should be uploaded to a website provided in the notification email, following the directions on that site. Properly submitted video entries will be judged by Adorama and Barker on the basis of how effectively the videos communicate the entrant’s qualifications to be a finalist. From those entries, five (5) finalist winners will be selected. On or before September 6, 2016, Adorama will announce the winning finalists from among the entries so received. Announcement of the finalists shall be made by emails sent to finalist. Any submission in either Round One or Round Two that exceeds the specified size or is not submitted in the proper file format may be disqualified. ROUND THREE—THE PROGRAM Five (5) winning semifinalists will be flown to New York and invited to compete in a reality television elimination-format series of videos entitled Top Photographer, to be recorded in New York City from approximately September 18 through 25, 2016 (the “Program”). However, because of the nature of the production, up to fourteen (14) days of participation in New York City may be required of semifinalists. Do not enter if you are unable to offer that time commitment. The Program is intended for initial exhibition on the YouTube channel AdoramaTV (the “Channel”). There will be up to five (5) episodes in total. In most of the episodes, the finalists will compete against each other in a variety of photography-based challenges (the “Challenges”) to be judged by Barker and up to two (2) guest judges (the “Guest Judges”) per episode. At the end of each of those episodes, Barker and Guest Judges (together, the “TV Judges”) will vote to eliminate one entrant until the Grand Prize winner will be chosen and announced. Each Challenge will involve a specific photographic assignment for finalists to complete on a competition basis within an allotted time period. The winner of a Challenge may receive an “advantage” (as determined by the Judges and Adorama in their sole discretion) in the succeeding episode. Challenge winners may also receive additional surprise prizes or other awards, at Adorama’s sole discretion. All judging will be on the basis of artistic and technical merit. The specific judging requirements for a Challenge will be explained to entrants prior to the start of that Challenge. The two remaining finalists will participate in Challenges during episode 4 and, if included in the Program, episode 5, with the Grand Prize winner chosen at the conclusion of the final competition episode. If the Contract includes an episode 5, the format of that episode may vary from the format of the preceding episodes, but the judging criteria will remain the same. INTELLECTUAL PROPERTY All still photographs, videos and other artwork created by any entrant shall remain the property of that entrant, whether submitted as entries or created on or in connection with participation on the Program (together, “Entrant Artwork”). By entering this Contest, the entrant grants to Adorama the perpetual, royalty-free, sublicensable, worldwide right and license to use, publish, display, market, create derivative works from, and otherwise commercially use any Entrant Artwork, in any form or format now known or later devised or perfected. On request, each entrant shall provide Entrant Artwork to Adorama in the maximum resolution and file size in which they were created. All Entrant Artwork must be original and may not infringe upon the copyright or other intellectual property rights of any third party. Entrants will retain ownership in their works and may therefore register the copyrights in them, make and sell prints of them and otherwise exploit them for their own artistic and commercial purposes. TRAVEL AND ACCOMMODATIONS Adorama will provide flights and accommodations in New York City for finalists, as well as a per diem for meals and local travel expenses of sixty-dollars ($60) for each day that the finalist participates in the creation of episodes of the Program. Air travel shall be from an airport near the residence of an entrant, to one of the three airports serving New York City. Travel dates will be determined by Adorama, with departure and return dates scheduled so as to allow up to fourteen (14) days in Manhattan, at Adorama’s discretion. Airline schedules, event schedules, travel arrangements and other aspects of travel and accommodation are subject to change outside the control of Adorama. Adorama will not be responsible or liable for any such changes and reserves the right to make substitutions and cancelations in its sole and absolute discretion. If the finalist is not available or fails to arrive at the required time for a flight, fails to have proper and complete documentation for any portion of travel, he or she may be disqualified from further participation. Travel restrictions may apply and frequent-flier miles may not be available. Once travel is booked, no changes or cancellations by the entrant will be accepted. Finalists may each bring with them one (1) travel companion to share their respective hotel rooms, all at the finalist’s sole expense for the duration of the finalist’s participation. CONDUCT OF EPISODES All photographic, audio, video and lighting equipment for the Challenges shall be provided by Adorama, with some selection of individual pieces of equipment permitted from among those pieces to be so provided. Each finalist will, however, receive sufficient and correct equipment to be given a chance fairly to compete in each Challenge. Finalists shall not be permitted to use their own equipment during the creation of the episodes. Requirements for successful completion of any Challenge shall be set by the Judge and any participating Guest Judge, in collaboration with Adorama. Those requirements may include, but not be limited to, creative composition, the technical execution and manipulation of the camera and other photography devices, and the action captured within the image. Although every reasonable effort will be made to make judging fair, much of what will be decided will necessarily be on a subjective basis. Adorama may consult with the Judges for review of their proposed decisions in the interest of the overall purpose and goals of the Program. In the event of an impasse, Adorama shall make the decision as to any elimination or the Grand Prize winner, as the case may be. The decisions of the TV Judges and Adorama, as to all elements of the competition and the results, are final. The interpretation and implementation of all rules is at the sole discretion of Adorama and are not subject to appeal. Failure to comply with these Official Rules as interpreted by Adorama may result in disqualification at the sole and exclusive discretion of Adorama. During episodes, models may be provided, without expense to entrants, to serve as photographic subjects. Assignments of models will be made by random draw or by the TV Judges, as Adorama shall require. Models may or may not be required to sign model releases for the use of their images outside the context of the competition, as decided by Adorama in its sole discretion. Barring emergencies, to be determined by Adorama in its sole discretion, entrants must remain in New York City, at the hotel provided by Adorama, during their participation in the creation of the Program. At Adorama’s sole discretion, eliminated entrants may be required to take part in subsequent episodes, including the final episode. Entrants should therefore be prepared to remain in New York City for the duration of the creation of all the episodes of the Program. In the event that an episode is interrupted or interfered with for any reason, whether accidentally or intentionally, Adorama reserves the sole right to determine whether to continue with the Challenge for that episode or to restart, revise, reschedule or cancel the Challenge. Entrants may not agree or accept to benefit financially or receive other similar consideration from any other entrant or other party in exchange for participating in acts or omissions that would affect the outcome of the Program. At no time may an entrant attempt to impede, hinder or interfere, or conspire, agree to cooperate with, or combine with a fellow entrant during the course of competition. Entrants may not solicit outside assistance for any Challenge. Entrants may not share or make any agreement or promise to share any portion of the Grand Prize with any other entrant. Fraternization between entrants and the TV Judges and crew during production of the Program is prohibited. The use of alcohol, tobacco products or illegal drugs is prohibited during production of episodes of the Program. Entrants may not accept money or any item of value from any third party with respect to their participation on the Program. Adorama reserves the right to remove any entrant from any Challenge or from the Program or otherwise to penalize any entrant if, in the sole determination of Adorama, that entrant shall have failed to adhere to these Official Rules or otherwise acted improperly or failed to act in a fair or responsible way. Entrants shall not disclose, post or otherwise communicate about any aspect of the Program to anyone other than as directed by Adorama at any time prior to the conclusion of the initial airing of the Program on AdoramaTV. Thereafter, Entrants may participate in social media forums and in media interviews regarding the conduct of the Program and its results. At no time, however, may any entrant disparage, impugn, insult or ridicule any entrant, Judge, Sponsor or other entities or individuals participating in the Program, nor may entrant question or challenge the fairness or result of any Challenge or the Program. Without limitation to the foregoing, Adorama may place certain limitations on Entrants’ ability to communicate with anyone not affiliated with the Program. Entrants must participate in all interviews requested of them by Adorama during production of the Program. Entrants must refer all media inquiries to Adorama, both during and after production and launch of the Program. Entrants must immediately inform Adorama of any personal acquaintance with any Judge or production personnel. If an Entrant should have a question or concern regarding any aspect of the Program, the entrant must immediately bring the matter to the attention of Adorama. If an entrant wishes to dispute any aspect of the Program, the entrant may do so between Challenges, but no later than the start of the next Challenge. Adorama will review each such dispute and, in its sole discretion, take any corrective action it deems appropriate. Adorama may, at any time and in its sole discretion, add, remove or replace Entrants, including if they determine in their sole discretion that any Entrant is not mentally or physically fit to continue as an entrant. Any changes to these Official Rules made by Adorama during or prior to the creation of the Program will be provided in writing to participating entrants and will be deemed added to the Official Rules and fully incorporated into it. At Adorama’s discretion, all entrants may be required to dress in certain clothing. In certain Challenges, safety equipment may be provided and entrants must comply with all safety instructions. Failure to do so may result in disqualification at the sole and exclusive discretion of the Adorama. During production of the Program, entrants may be filmed or recorded at any time, with or without their knowledge. Entrants agree to have every aspect of their lives during the duration of production of the Program recorded (in sound and video) and exhibited. Entrants should assume that their conversations and actions are being recorded at all times. Entrants may be required to wear wireless microphones throughout the Program Locations. Entrants must comply with all instructions regarding such microphones, including changing of batteries and microphone removal. Nothing may be removed from any Program location by or on behalf of Entrants without approval of Adorama. Entrants may not alter or damage the production environment or Program. ALL FEDERAL, STATE AND SURPRISE PRIZES AND AWARDS AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF THE GRAND PRIZE ARE SOLELY THE RESPONSIBILITY OF THE WINNER AND WILL BE BASED ON THE ACTUAL RETAIL VALUE OF THE PRIZE. WINNER’S WILL RECEIVE ONE OR MORE FORM 1099 DOCUMENTS FOR REPORTING TO THE INTERNAL REVENUE SERVICE. BECAUSE ELEMENTS OF THE GRAND PRIZE WILL BE AWARDED IN A DIFFERENT TAX YEAR FROM THE TRIP PORTION, TAX FORMS FOR TWO TAX YEARS MAY NEED TO BE SUBMITTED. If the Grand Prize winner refuses to accept any portion of the Grand Prize at any time prior to fulfillment of the prize award, or if a finalist elects not to accept any surprise prize or award, Adorama reserves the right not to award the Grand Prize, or surprise prize or award, as the case may be, without compensation to the winner. Time permitting, Adorama may award the Grand Prize or any other prize or award to the applicable runner up. Prizes and awards are non-transferable. No substitution or cash equivalent of prizes is permitted; however, Adorama reserves the right to substitute any element of any prize award with another of equal or greater value. ADDITIONAL LIMITATIONS The Sponsors and their respective parent, affiliate and subsidiary companies, agents, and representatives are not responsible for any typographical or other errors in the offer or administration of the Contest, including, but not limited to, errors in any printing or posting or these official rules, the selection and announcement of any winner, or the distribution of the Grand Prize. Any attempt to damage the content or operation of this Contest is unlawful and subject to possible legal action. The Sponsors and their respective parent, affiliate and subsidiary companies, agents, and representatives, and any telephone network or service providers, are not responsible for incorrect or inaccurate transcription of entry information, or for any human error, technical malfunction, lost or delayed data transmission, omission, interruption, deletion, line failure or malfunction of any telephone network, computer equipment or software, the inability to access any website or online service or any other error, human or otherwise. Adorama reserves the right to terminate, suspend or amend the Contest, without notice, and for any reason, including, without limitation, if Adorama determines that the Contest cannot be conducted as planned or should a virus, bug, tampering or unauthorized intervention, technical failure or other cause beyond Adorama’s control corrupt the administration, security, fairness, integrity or proper play of the Contest. In the event any tampering or unauthorized intervention may have occurred, Adorama reserves the right to void any suspect entries at issue. INDEMNIFICATION AND LIMITATION OF LIABILITY BY ENTERING THE CONTEST, EACH ENTRANT AGREES TO INDEMNIFY, RELEASE AND HOLD HARMLESS THE SPONSORS, JUDGES, PRODUCTION AND PROMOTIONAL COMPANIES AND THEIR RESPECTIVE PARENT, AFFILIATE SUBSIDIARY COMPANIES, AGENTS, DISTRIBUTORS, VENDORS, PRIZE SUPPLIERS, ADVERTISING AND PROMOTIONAL AGENCIES, AND ALL THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS FROM ANY LIABILITY, DAMAGES, LOSSES OR INJURY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THAT ENTRANT'S PARTICIPATION IN THE CONTEST AND THE ACCEPTANCE, USE OR MISUSE OF ANY PRIZE THAT MAY BE WON. THE SPONSORS AND THEIR RESPECTIVE PARENT, AFFILIATE AND SUBSIDIARY COMPANIES DO NOT MAKE ANY WARRANTIES, EXPRESS OR IMPLIED, AS TO THE CONDITION, FITNESS OR MERCHANTABILITY OF ANY OF THE PRIZES. Each finalist grants the Sponsors and their respective advertising and promotional agencies and providers and those acting under their permission the irrevocable and perpetual right to use his or her name, likeness, voice, comments, and any photographs or video or audio footage that may be taken for advertising and publicity purposes in any form of media, now known or hereafter developed or perfected, without payment of additional consideration or acknowledgement. PRIVACY Personal information collected from entrants during the Contest is subject to Adorama’s privacy statement available at www.adorama.com and, except as otherwise provided in these Official Rules, will be treated in accordance with the terms of that statement. Adorama may engage certain third party companies to perform services in connection with the administration of this Contest and information provided by entrants may be collected and used by those third parties for purposes of administration of the Contest and the fulfillment and verification of prize awards.
